The Site is an e-commerce website with the following description: an e-commerce platform to facilitate the sale and transaction of water purification and water filtration devices and related equipment (collectively, the “Products”).

Any and all visitors to our Site, whether registered or not, shall be deemed “users” of the Services provided for the purposes of these Terms. Once an individual registers for our Services through the process of creating an account, the user shall then be considered a “member.”

The user and/or member acknowledges and agrees that the Services provided and made available through our website and applications—which may include mobile applications made available on various social media networking sites, platforms, and downloadable programs—are the sole property of HALE. At its discretion, HALE may offer additional website Services and/or Products, or update, modify, or revise any current content and Services, and this Agreement shall apply to any and all such additions or revisions unless otherwise stipulated. HALE reserves the right to cancel and cease offering any of the aforementioned Services and/or Products. You acknowledge, accept, and agree that HALE shall not be held liable for any such updates, modifications, revisions, suspensions, or discontinuance of any of our Services and/or Products. Water Filtration Products — Role of HALE

HALE operates solely as a seller, distributor, and/or reseller of water purification and water filtration equipment manufactured by third parties. Except where HALE is expressly identified in writing as the manufacturer of a specific Product, HALE does not design, engineer, or manufacture the Products it sells. You acknowledge and agree that HALE’s role is limited to selling and delivering the Products, and that the Products are produced by independent third-party manufacturers over whom HALE exercises no control.

HALE, LLC DOES NOT PROVIDE INSTALLATION SERVICES. HALE sells Products only. HALE does not install, connect, mount, plumb, configure, commission, service, repair, or maintain any Product, and does not offer, arrange, supervise, or subcontract any such installation or related services. The purchase of any Product from HALE does not include installation. You are solely responsible for arranging the installation of any Product at your own cost and risk, as further described in the “Installation, Use, and Property Damage” section below.

Any warranty applicable to a Product is the warranty, if any, provided by the manufacturer of that Product. HALE makes no independent warranty regarding the Products beyond what is expressly stated in these Terms or in a separate written agreement signed by an authorized representative of HALE. To the fullest extent permitted by law, HALE hereby passes through to you any assignable manufacturer warranties and disclaims all other warranties as set forth in the “Warranty Disclaimers” section below.

Manufacturing Defects and Product Performance

You expressly acknowledge, understand, and agree that to the fullest extent permitted by applicable law:

1. HALE is not the manufacturer of the Products and is not liable or responsible for any manufacturing defect, design defect, latent defect, material failure, or component failure in any Product, including but not limited to any such defect that results in or contributes to water leaks, flooding, seepage, dripping, pressure failure, valve or seal failure, cracked housings, or the discharge of water;
2. any claim arising from a manufacturing or design defect in a Product is a matter between you and the manufacturer of that Product, and HALE’s sole obligation, if any, shall be to provide you with reasonably available information identifying the manufacturer and to pass through any assignable manufacturer warranty;
3. HALE does not warrant that any Product will be free from defects, will perform to any particular specification, will remove or reduce any particular contaminant, or will be fit for any particular purpose, except to the extent expressly stated in a manufacturer’s written warranty or as required by non-waivable applicable law; and
4. the performance of any water filtration or purification Product depends on numerous factors outside HALE’s control, including incoming water quality, water pressure, temperature, usage, maintenance, filter replacement, and proper installation, and HALE shall not be responsible for performance affected by any such factors.

Installation, Use, and Property Damage

You expressly acknowledge, understand, and agree that to the fullest extent permitted by applicable law:

1. HALE does not provide installation services of any kind. HALE does not install, connect, mount, plumb, configure, commission, service, repair, or maintain any Product, and the sale of a Product does not include installation. Any statement, recommendation, instruction sheet, diagram, or guidance HALE may make available is provided for general informational convenience only and does not constitute an installation service or professional advice;
2. you are solely responsible for ensuring that any Product is installed by a qualified, licensed, and properly insured professional where required, and in accordance with the manufacturer’s instructions and all applicable plumbing codes, building codes, and laws;
3. HALE shall not be liable or responsible for any problem, failure, damage, or loss occurring during or after installation, including but not limited to improper installation, improper connection to a water supply, use of incorrect fittings or fixtures, failure to follow manufacturer instructions, or failure to perform required maintenance;
4. HALE shall not be liable or responsible for any damage to your real or personal property, or to the real or personal property of any client, customer, tenant, neighbor, or third party, arising out of or relating to the Products or their installation, use, malfunction, leakage, or failure, including but not limited to water damage, mold, structural damage, damage to flooring, walls, ceilings, cabinetry, fixtures, furnishings, or personal belongings, and business interruption or loss of use;
5. you are responsible for taking reasonable precautions to protect against potential water damage, including installing the Product in an appropriate location, using leak detection and automatic shut-off devices where appropriate, and regularly inspecting the Product and its connections; and
6. if you resell, install, or provide a Product to your own client or customer, you assume full responsibility for that Product as between you and your client, and you agree to indemnify and hold HALE harmless as set forth in the “Indemnity” section below.

Assumption of Risk

By purchasing or using a Product, you knowingly and voluntarily assume all risks associated with the selection, installation, operation, maintenance, and use of the Product, including the inherent risk that any device that handles, stores, or conveys water may leak, overflow, or fail and may cause property damage. This assumption of risk does not apply to any liability that cannot be limited or excluded under applicable law.

Registration

To register and become a “member” of the Site, you must be at least 18 years of age to enter into and form a legally binding contract. In addition, you must be in good standing and not an individual who has been previously barred from receiving HALE’s Services under the laws and statutes of the United States or other applicable jurisdiction.

When you register, HALE may collect information such as your name, e-mail address, birth date, gender, mailing address, occupation, industry, and personal interests. You can edit your account information at any time. Once you register with HALE and sign in to our Services, you are no longer anonymous to us.

Furthermore, the registering party hereby acknowledges, understands, and agrees to:

1. furnish factual, correct, current, and complete information with regard to yourself as may be requested by the data registration process; and
2. maintain and promptly update your registration and profile information in an effort to maintain accuracy and completeness at all times.

If anyone knowingly provides any information of a false, untrue, inaccurate, or incomplete nature, HALE will have sufficient grounds and rights to suspend or terminate the member in violation of this aspect of the Agreement, and may refuse any and all current or future use of HALE Services, or any portion thereof.

Member Account, Username, Password and Security

When you set up an account, you are the sole authorized user of your account. You shall be responsible for maintaining the secrecy and confidentiality of your password and for all activities that transpire on or within your account. You are responsible for any act or omission of any user(s) that access your account information that, if undertaken by you, would be deemed a violation of these Terms. It shall be your responsibility to notify HALE immediately if you notice any unauthorized access or use of your account or password or any other breach of security. HALE shall not be held liable for any loss and/or damage arising from any failure to comply with this term and/or condition of these Terms.

Conduct

As a user or member of the Site, you herein acknowledge, understand, and agree that all information, text, software, data, photographs, music, video, messages, tags, or any other content, whether publicly or privately posted and/or transmitted, is the express sole responsibility of the individual from whom the content originated. 8. uploading, posting, emailing, transmitting, or otherwise offering any source that may contain a software virus or other computer code, files, and/or programs designed to interfere with, destroy, and/or limit the operation of any computer software, hardware, or telecommunication equipment;
9. disrupting the normal flow of communication, or otherwise acting in any manner that would negatively affect other users’ ability to participate in any real-time interactions;
10. interfering with or disrupting any HALE Services, servers, and/or networks that may be connected or related to our website, including but not limited to the use of any device, software, and/or routine to bypass the robot exclusion headers;
11. intentionally or unintentionally violating any local, state, federal, national, or international law, including but not limited to rules, guidelines, and/or regulations decreed by the U.S. Securities and Exchange Commission, as well as any rules of any national or other securities exchange, and any regulations having the force of law;

In addition, we reserve the right to remove and/or delete any such content that would violate these Terms or which would otherwise be considered offensive to other visitors, users, and/or members.

1. THE USE OR INABILITY TO USE OUR SERVICE OR PRODUCTS;
2. THE COST OF PROCURING SUBSTITUTE GOODS AND SERVICES;
3. UNAUTHORIZED ACCESS TO OR THE ALTERATION OF YOUR TRANSMISSIONS AND/OR DATA;
4. STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OUR SERVICE;
5. ANY DEFECT IN, OR THE INSTALLATION, USE, MALFUNCTION, LEAKAGE, OR FAILURE OF, ANY PRODUCT, INCLUDING ANY RESULTING DAMAGE TO YOUR PROPERTY OR THE PROPERTY OF ANY CLIENT OR THIRD PARTY; AND

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF HALE, LLC ARISING OUT OF OR RELATING TO A PRODUCT OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO HALE, LLC FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Release

In the event you have a dispute, you agree to release HALE (and its officers, directors, employees, agents, parent, subsidiaries, affiliates, co-branders, partners, and any other third parties) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected or unsuspected, disclosed and undisclosed, arising out of or in any way connected to such dispute.

Copyright or Intellectual Property Infringement Claims Notice & Procedures

HALE will always respect the intellectual property of others, and we ask that all of our users do the same. In appropriate circumstances and at its sole discretion, HALE may disable and/or terminate the accounts of any user who violates these Terms and/or infringes the rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please provide the following information:

General Information

Entire Agreement

These Terms constitute the entire agreement between you and HALE and shall govern the use of our Services, superseding any prior version of these Terms between you and us with respect to HALE Services. You may also be subject to additional terms and conditions that may apply when you use or purchase certain other HALE Services, affiliate Services, third-party content, or third-party software.

Choice of Law and Forum

It is mutually agreed by you and HALE that the relationship between the parties shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions, and that any and all claims, causes of action, and/or disputes arising out of or relating to these Terms, or the relationship between you and HALE, shall be filed within the courts having jurisdiction within the County of Washington, Pennsylvania, or the U.S. District Court located in said state. You and HALE agree to submit to the jurisdiction of such courts and waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

Waiver and Severability of Terms

At any time, should HALE fail to exercise or enforce any right or provision of these Terms, such failure shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.

No Right of Survivorship / Non-Transferability

You acknowledge, understand, and agree that your account is non-transferable and that any rights to your ID and/or contents within your account shall terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted.

Statute of Limitations

You acknowledge, understand, and agree that, regardless of any statute or law to the contrary, any claim or action arising out of or related to the use of our Services or these Terms must be filed within one (1) year after said claim or cause of action arose, or shall be forever barred.
